Schneider Electric extended a voluntary tender offer for Shelly Group (NEUTRAL)

Shelly Group (SLYG) announced that SE 2026 A SAS, a wholly-owned subsidiary of
Schneider Electric SE, extended a voluntary tender offer for the acquisition of all SLYG shares. The offer price is EUR 70.00 per share, which is higher than the weighted average market price for the last 6 months (EUR 59.29), the fair price calculated through generally accepted valuation methods (EUR 59.33), and the highest price paid per share by the bidder during the last six months (EUR 52.00).
The tender offer, which is subject to approval by the Financial Supervision Commission (FSC), has a minimum acceptance threshold of 95%. According to the statement, the bidder wishes to acquire 13 244 827, but not less than 12 330 305 shares of the company, representing 72.41% of the capital. Recall that Schneider Electric intends to take steps aimed at obtaining full ownership of Shelly Group and pursuing a potential delisting.
Prior to the announcement of the voluntary tender offer, Shelly revealed that Salisto Holdings LLC, a company owned by Svetlin Todorov, a BoD member of the Group, has sold OTC 917 523 shares of SLYG (5.053% stake) to SE 2026 A, the bidder. As a result, the total shares controlled by Mr Todorov amount to 22.73%.
